Vetruly, Inc. Terms of Service
Effective Date: July 4, 2025
Welcome to Vetruly! These Terms of Service ("Terms") constitute a legally binding agreement between you and Vetruly, Inc. ("Vetruly," "we," "us," or "our") governing your access to and use of the Vetruly online marketplace, our website, and associated services (collectively, the "Platform"). These Terms apply to all visitors, users, and others who access or use the Platform ("Users").
By creating an account or by accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
Note for Veterinary Professionals: If you are using the Vetruly Platform as a Provider, you are also subject to the Independent Contractor Agreement outlined in Section 13 of this agreement.
Note for Pet Owners: If you are using the Vetruly Platform to find care for your pet, you are also subject to the "Additional Terms for Pet Owners" outlined in Section 14.
1. Scope of Vetruly's Services & Acknowledgement
Vetruly provides a technology platform that facilitates connections between individuals seeking specialty veterinary care for their pets ("Pet Owners" or "Clients") and licensed, independent veterinary professionals ("Providers").
YOU ACKNOWLEDGE AND AGREE THAT VETRULY IS NOT A VETERINARY PRACTICE, DOES NOT PROVIDE VETERINARY CARE OR ADVICE DIRECTLY, AND DOES NOT EMPLOY THE PROVIDERS. Providers are independent contractors who are solely responsible for the professional services they render. Vetruly has no control over the manner, quality, timing, or legality of the services delivered by a Provider. We are not a party to the service agreement between a Pet Owner and a Provider.
2. User Accounts
To use the Platform, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. Vetruly reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, not current, or incomplete, or for any other violation of these Terms.
3. User Conduct
All users of the Vetruly Platform agree to the following standards of conduct:
- Respectful Communication: You must communicate with other users in a kind, clear, and professional manner. Offensive, discriminatory, or threatening language is strictly prohibited.
- Platform Integrity: You agree not to solicit or engage in off-platform transactions for services discovered through Vetruly. All care must be booked and paid for through the Platform to ensure transparency and protection for all parties.
- Anti-Fraud: You agree not to misrepresent your identity, manipulate reviews, falsify bookings, circumvent platform fees, or attempt unauthorized access to any part of the Platform.
Vetruly reserves the right to investigate any suspected violations and take appropriate action, including warnings, account suspension, or permanent removal from the Platform, as outlined in Section 9.
4. Provider Qualifications and Responsibilities
- Providers represent and warrant that they are, and will remain, licensed in good standing and qualified to offer veterinary services in the jurisdiction(s) where they provide services.
- Providers are solely responsible for maintaining their own professional liability insurance coverage at levels appropriate for their practice.
- Providers agree to conduct themselves professionally, ethically, and in compliance with all applicable laws and regulations in all interactions with Clients and their pets.
5. Payment Terms
- For Clients: You agree to pay the fees for services provided by a Provider at the rates displayed on the Platform. You authorize Vetruly and its third-party payment processor to charge your selected payment method for these fees.
- For Providers: You authorize Vetruly to act as your collection agent to collect fees from Clients on your behalf.
- Service Fee: Vetruly deducts a service fee from each transaction as compensation for providing the Platform. This fee will be disclosed to Providers.
- Cancellations and Refunds: Cancellation and refund requests are subject to the cancellation policy selected by the Provider and displayed on the booking page at the time of the transaction. Vetruly is not responsible for issuing refunds; however, we may facilitate dispute resolution between users in accordance with Section 7.
6. Disclaimers and Limitations of Liability
- Verification Disclaimer: Vetruly performs verification checks on Provider credentials at the time of their onboarding. However, we do not have an ongoing duty to monitor any Provider's licensure status and disclaim any responsibility for the accuracy or currency of a Provider's credentials.
- No Endorsement: Vetruly does not endorse any particular Client or Provider. Any reviews or ratings on the Platform are user-generated content and do not constitute an endorsement by Vetruly.
- "AS IS" Service: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VETRULY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETRULY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF YOUR USE OF THE PLATFORM OR ANY SERVICES PROCURED THROUGH THE PLATFORM. IN NO EVENT SHALL VETRULY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE TOTAL SERVICE FEES RETAINED BY VETRULY FROM YOUR TRANSACTIONS IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
7. Indemnification
You agree to release, defend, indemnify, and hold Vetruly and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Platform, (ii) your violation of these Terms, or (iii) your interaction with any other user or the services you provide or receive.
8. Dispute Resolution and Arbitration
- User Disputes: Any disputes between a Client and a Provider should first be addressed directly between the parties. Vetruly is not obligated to mediate or intervene but may do so at its sole discretion to facilitate a resolution.
- Binding Arbitration: You agree that any dispute or claim relating in any way to your use of the Platform will be resolved by binding arbitration, rather than in court. The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
- Governing Law: These Terms and any action related thereto will be governed by the laws of the State of Delaware without regard to its conflict of laws provisions.
9. Intellectual Property
The Platform and all its original content, features, and functionality are and will remain the exclusive property of Vetruly, Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Vetruly.
10. Termination and Enforcement
You may deactivate your account at any time by contacting us. We reserve the right to suspend or terminate your account and access to the Platform, at our sole discretion, without notice or liability, for conduct that we believe violates these Terms or is harmful to other users of the Platform, us, or third parties. Enforcement actions for violations may include warnings, temporary or permanent account suspension, removal from the platform, and/or legal action, if applicable.
11. Privacy and Data Use
Our collection and use of personal information in connection with your access to and use of the Platform is described in our Privacy Policy.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any material changes take effect by posting the new Terms on the Platform or by sending you an email. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, in whole or in part, you must stop using the Platform and can request to deactivate your account by contacting us.

14. Additional Terms for Providers (Independent Contractor Agreement)

This section of the Terms of Service constitutes your Independent Contractor Agreement (“Agreement”) and is entered into between you (“Provider,” “you,” or “your”) and Vetruly, Inc. (“Vetruly,” “we,” or “us”). It governs your use of the Vetruly platform to offer pet care and veterinary support services.
Relationship of the Parties
You acknowledge and agree that you are an independent contractor, not an employee, agent, joint venturer, or partner of Vetruly. You are solely responsible for your own business activities, including taxes, insurance, licenses, and tools. Nothing in this Agreement creates an obligation for Vetruly to assign or guarantee any jobs to you.
Your Responsibilities
As a Provider, you agree to:
- Deliver services in a safe, professional, and ethical manner.
- Maintain any required credentials, licenses, or certifications.
- Accurately represent your skills and experience on the platform.
- Comply with all applicable local, state, and federal laws, including those related to animal welfare and veterinary care.
- Treat pets, Pet Owners, and other providers with respect and care.
You are solely responsible for the manner and method of providing your services, any insurance coverage (e.g., general liability, professional liability) you choose to carry, and providing your own equipment, transportation, and communication devices.
Platform Usage
You agree that all care arranged through Vetruly must be booked and paid for through the platform. You may not solicit or accept off-platform payments or services. Vetruly reserves the right to suspend or remove your access to the platform for violations of this Agreement or other policies.
Compensation
- You set your own service rates.
- You keep 100% of your rate for services rendered.
- Vetruly may charge a platform service fee to the Pet Owner and may retain any such fee for operational purposes.
- You will not be entitled to any employee benefits, including health insurance, vacation, sick pay, or unemployment insurance.
Term and Termination
This Agreement begins when you accept it and remains in effect until terminated by either party. You may stop using the platform at any time. Vetruly may suspend or terminate your access at any time, with or without cause.
Limitation of Liability & Indemnification
To the maximum extent permitted by law, Vetruly shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform or your services, including any injury to pets or persons. You agree to indemnify and hold harmless Vetruly from any claims, damages, or liabilities arising out of or related to your services or conduct.
Modifications
We may update this Agreement at any time by posting a revised version on the Vetruly platform. Continued use of the platform constitutes acceptance of the modified terms.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
15. Additional Terms for Pet Owners

This section outlines additional terms and responsibilities applicable to you as a Pet Owner using the Vetruly Platform.
Commitment to Pet Safety
As a Pet Owner, you agree to provide accurate and honest information about your pet(s), including their medical history, behavior, and specific needs. You are responsible for keeping your pet(s) secure and safe during a Provider's visit (e.g., leashed, crated, or separated as appropriate). We do not tolerate neglect, abuse, or unsafe conditions for pets. If we suspect a risk to animal welfare, we may suspend or remove your access to the Platform and report concerns as required by law.
Safe Environment for Providers
You agree to provide a clean, safe, and respectful home environment for Provider visits. You must disclose any known safety concerns, such as aggressive pets, restricted access, or environmental hazards. Providers have the right to leave or decline to provide services if they feel unsafe in your home.
